Terms & Conditions

These Terms and Conditions govern all quotations, contracts, service orders, work orders, invoices, and transactions between AES Industries and its clients, subcontractors, and vendors for civil infrastructure, electrical, water treatment, and plumbing works.

By placing an order or engaging in any transaction with AES Industries, the client acknowledges and agrees to be bound by these Terms and Conditions.

AES Industries shall perform work in compliance with applicable Indian laws, including the Indian Contract Act, 1872, the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, GST and tax laws, labour and employment laws, safety regulations, and relevant environmental standards and Indian Standards (IS) codes.

AES Industries shall execute work strictly as per approved drawings, bill of quantities (BOQ), work orders, technical specifications, and written client instructions. AES Industries shall not be responsible for deviations caused by client-supplied incorrect drawings or information.

Any additional work, variations, or changes outside the agreed scope shall be treated as extra work and charged separately at pre-agreed or mutually accepted rates. Such changes shall be recorded by variation orders.

Clients shall make payments as per the payment schedule in the contract, quotation, or work order. AES Industries may withhold progress of work for non-payment, or impose interest or late payment charges as specified.

Unless expressly stated otherwise in writing, all prices are exclusive of GST and other applicable taxes, which shall be payable by the client in addition to the contract price.

Taxes, duties, fees, and statutory levies arising out of the services shall be borne by the party as specified in the contract, and AES Industries shall charge applicable taxes in accordance with law.

AES Industries reserves the right to determine the deployment of manpower, equipment, and machinery, and to alter methods of execution to ensure safety, quality, and timely completion, without changing the contract’s agreed technical outcome.

AES Industries may suspend or slow down work if site conditions are unsafe, access is restricted, materials are not available, or for reasons beyond its reasonable control. Any such suspension shall entitle AES Industries to time and cost extensions.

All personnel, subcontractors, suppliers, and site visitors must comply with AES Industries’ site safety rules, PPE requirements, and hazard control procedures. Repeated non-compliance may lead to removal from site or termination of engagement.

Client-supplied materials shall remain the client’s responsibility unless otherwise agreed in writing. AES Industries shall take reasonable care of such materials while under its control, but shall not be liable for inherent defects in client-supplied materials.

AES Industries warrants that it will perform services with reasonable skill and care in accordance with good industry practice. Defects notified within any agreed defect liability period shall be rectified in accordance with the contract terms.

Unless otherwise agreed in writing, AES Industries’ aggregate liability for any claim arising out of or in connection with the contract shall be limited to the contract value of the specific work order concerned.

AES Industries shall not be liable for indirect, consequential, special, or incidental damages, including but not limited to loss of profit, loss of business, or loss of opportunity.

AES Industries shall not be liable for delays or failures caused by force majeure events, which include natural disasters, government actions or restrictions, labour strikes, pandemics, war, civil unrest, and major transport or supply-chain disruptions.

In the event of force majeure, AES Industries shall notify the client promptly and shall be entitled to a reasonable extension of time and relief from performance obligations to the extent affected.

All project documents, technical data, drawings, commercial terms, and communications are confidential and shall not be disclosed to third parties without written consent, except as required by law or to perform contractual obligations.

AES Industries may terminate or suspend the contract for material breach, non-payment, illegal activities at site, unsafe conditions, or repeated interference with work execution. Upon termination, AES Industries shall be entitled to payment for work executed and costs incurred up to the termination date.

Subcontracting is permitted with the client’s prior consent where required. AES Industries shall ensure that any subcontractor engaged is bound by appropriate terms, including confidentiality, safety, and compliance obligations.

The client shall provide required site access, statutory approvals, clearances, and timely information necessary for work execution. AES Industries shall not be responsible for delays caused by late client-provided approvals or information.

Any materials supplied by AES Industries shall remain AES Industries’ property until full payment is received, unless otherwise agreed in writing.

Claims for defects, shortages, or non-conforming work must be notified in writing within the period specified in the contract. AES Industries shall be given a reasonable opportunity to inspect and rectify such claims.

Both parties shall first attempt to settle any disputes by mutual discussion and negotiation. If unresolved, the disputes shall be subject to the exclusive jurisdiction of the courts at Pune, Maharashtra, India.

These Terms and Conditions, together with the quotation, work order, drawings, BOQ, and any written agreements, constitute the entire agreement between the parties and supersede prior communications and representations.

Acceptance of AES Industries’ quotation, invoice, purchase order, or work order shall constitute acceptance of these Terms and Conditions, unless otherwise expressly agreed in writing.
